Bio

Madeleine C. Craig is an attorney in the firm’s Commercial Litigation Practice Group who represents individuals and businesses in a variety of litigated matters, including contract actions, warranty claims, shareholder disputes, real estate issues and general business disputes.

Ms. Craig also maintains a robust transactional practice wherein she works with clients to provide them with advice and counsel on all stages of business operations, including entity formation, regulatory compliance, business planning and capital financing. She routinely negotiates and drafts contracts for the purchase and sale of real estate, landlord/tenant contracts, property management agreements, financing statements and operating agreements. Her real estate practice includes the transference of title between real estate agents, borrowers and title companies, and she routinely negotiates real estate agreements, including purchase agreements, land contracts, leases, easements and loan modifications.

In addition, Ms. Craig has experience in the areas of trusts and estate planning, as well as probate administration and petitions, including guardianships and conservatorships. She also represents clients in contested probate matters involving family disputes and fiduciary appointments.

Representative Client Work

  • Represent automotive suppliers in complex litigation against downstream suppliers, original equipment manufacturers (OEMs) and competitors engaging in unfair trade practices
  • Represented businesses and individuals in breach of contract actions involving construction agreements, software development and professional services, obtaining damages, injunctive relief or favorable settlements through litigation and mediation
  • Represented minority shareholders in disputes concerning corporate control and operating agreements
  • Represented shareholders and managing members in closely held real estate investment entity in dispute(s) involving breaches of fiduciary duty, self-dealing and mismanagement
  • Litigated claims related to profit distributions, asset transfers and removal of managing partners
  • Drafts and negotiates entity formation documents, advises clients on regulatory compliance matters and assists with strategic business planning and capital fundraising efforts, including the preparation of operating agreements, investor documents and governance structures tailored to growth-stage companies
